DESCRIPTION:
Duties: Structure, analyze and execute syndicated bank debt, institutional term loan and high yield bond financing for non-investment grade companies in Consumer, Retail, Healthcare, Real Estate and Financial companies. Prepare and review potential capital raising opportunities and financing alternatives for prospective clients. Coordinate with investment banking coverage, corporate banking coverage and credit risk management to run business, financial and legal due diligence process. Produce internal memorandums and steer internal approvals required to conduct business for multi-billion dollar loan commitments, including balance sheet committee, underwriting committee, and credit committee including application of leveraged lending regulation (Shared National Credit). Assist clients interact with the rating agencies (Moody’s, Standard & Poor’s and Fitch), organize and attend rating agency presentations, and obtain a credit rating. Engage and lead dialogue with institutional investors, answer investors’ due diligence questions and organize deal roadshows during the syndication of leveraged loans and high yield bonds. Coordinate and communicate with clients’ senior executives, external counsel, operations and stakeholders within investment banking on multi-billion dollar term loan and high yield bond pricing and closings. Analyze accounting and regulatory statements, financial projections and models prepared by clients in various formats, and create and review detailed cash flow based LBO model, comparable company and debt analysis to determine a company’s optimal capital structure and ability to raise debt financing. Present transactions, clients’ business and financial profile, key credit highlights, risks and mitigants to capital markets and salesforce. Liaise with external counsel, clients and senior bankers including Coverage, Legal and Credit, to ensure seamless deal execution, including financial and credit analysis. Review of covenants in legal documents, marketing materials, daily update calls with deals in market on deal progress and investors’ feedback, and negotiation of credit agreements, debt indentures, commitment papers, fee letters, engagement letters and purchase agreements.
QUALIFICATIONS:
Minimum education and experience required: This position requires a Bachelor’s degree in Accounting, Business Administration, or related field of study plus two (2) years of experience in the position offered or two (2) years of experience as an Investment Banking-Leverage Finance, Investment Banking Risk Management, Analyst, Analyst-CIB Treasury Services Rotational Programs, or related occupation.
Skills Required: This position requires experience in the following: bank debt financing to leveraged Consumer, Retail, and Healthcare companies; revolving credit facility, letters of credit facility, and term loans; credit analysis including financial statements and capital structures using GAAP and IFRS principles; historical free cash flow and debt maturity; refinancing; LBO models, discounted cash flow and comparable company analysis using Microsoft Office Word, Excel and PowerPoint; financial, business, and legal due diligence including: quality of earnings analysis, reviewing and sensitizing financial projections, cost structure analysis, competitor analysis, and identification of any legal risks and liabilities associated with litigation and regulatory compliance; credit agreements, debt indentures, commitment papers, fee letters, and engagement letters; leverage lending regulations (Shared National Credit) to structure and size leveraged lending transactions; Bloomberg; Factset; Thomson Reuters; Eikon; CapitalIQ; and credit research and analytics Fitch, S&P and Moody’s.
