Duties & Responsibilities
· Responsible for establishing the Company’s overall financial goals, objectives, and policies; establish accounting policies on the treatment and disclosure for all financial items.
· Advise the CEO on strategic business development and key corporate planning issues and make recommendations on major business decisions.
· Ensure the Company’s financial stability and help the management team quantify the impact of strategic and operating plans.
· Be a trusted and valued business partner to CEO and functional leaders.
· Identify and assist in prioritizing business initiatives, levers and paths that increase shareholder value.
· Manage all third-party relationships with lenders and prospective investors. Participate in capital market development, including participation in road shows, bank meetings, analyst meetings and more.
· Oversees all financial functions including accounting, financial reporting, budgeting, credit, insurance, tax, legal and treasury.
· Direct all day-to-day corporate accounting functions, including accounts receivable, accounts payable, general ledger, cash management and payroll.
· Ensure all activities are in accordance with U.S. GAAP, SEC requirements and Sarbanes-Oxley requirements and ensure the accounting records are maintained accurately and in compliance with laws and regulations.
· Manage and develop banking relationships and treasury management activities.
· Manage and oversee relationships with investors, lenders, independent auditors, and investment institutions.
· Coordinate and lead the annual audit process, liaise with external auditors and the Board of Directors; ensure compliance with tax and regulatory agencies.
· Direct preparation of timely monthly, quarterly, and annual financial reports, including balance sheets, income statements, statement of cash flows and management reports. Develop, analyze, and present financial reports in an accurate and timely manner, clearly communicate monthly and annual financial statements; provide accurate, concise, and insightful reporting and forecasting of the financial position of the Company; ensure the management team and Board of Directors are apprised of potential financial results.
· Direct short-term and long-range planning and budget development to support strategic business goals; work with CEO and Controller to help determine resource allocation among departments; direct preparation of operating plans, budgets, and forecasts.
· Direct development and implementation of all internal accounting controls and process improvements of accounting policies, procedures, and systems.
· Develop effective tools to improve and facilitate pricing decisions.
· Prepares financial analysis and management reports as requested by the CEO, including:
o Analyze financial and operating information to facilitate decision-making with management team.
o Coordinate sales forecasting, metrics, and reporting.
· Assist CEO in identifying, evaluating (due diligence), and integrating acquisitions into the Company portfolio, with a focus on enhancing acquired products, identifying synergies, integrating effectively, and driving leverage.
· Build a “world class finance team” capable of growing the business profitably and delivering financial support.
· Identify and implement new best in class financial software & systems to manage the Company’s growth. Identify financial modeling tools and develop multi-year financial models to assess the long-term projections for the Company.
· Responsible for tax planning and compliance with all federal, state, and local corporate, payroll and other applicable taxes.
· Handle risk management activities and insurance requirements.
· Conduct financial and legal review of customer, vendor and other contracts and agreements.
· Manage transactions, external reporting and maintenance of documentation related to employee equity benefit programs, specifically Employee and Board of Director Stock Option Plans and the ESPP.
· Oversee Human Resources, Office Management, Inventory, Order Process, Logistics and Fulfillment, and daily operations
Education Requirements
· Bachelor’s degree in accounting or finance – CPA and/or MBA a plus.
Qualifications
· Minimum 10 years progressive finance and accounting experience with leadership of increasing responsibility.
· Experience in the SaaS industry is required, Education Technology a plus
· A track record of success leading the financial function at fast paced, high growth technology companies; experience as a CFO is required; experience with an online, subscription-based, deferred revenue business model with non-tangible products a plus.
· Proven ability to be a valued and trusted business partner to the CEO and functional leaders.
· Proven ability to identify paths to increased shareholder value and assist in leading a Company to that end.
· Financial acumen and significant analytical skills; an ability to analyze and draw business impacting conclusions from the Company’s customer and operational data.
· Strong operational accounting and financial reporting skills; will be proficient in forecasting and financial modeling including the development of pricing templates; must have a demonstrated facility for reaching sound business decisions after developing and reviewing available financial information.
· Proven ability to transition a growing Company to new processes and structure to ensure compliance and effective operations; experience transitioning to new financial systems is strongly preferred.
· Proven success in managing cash, banking relationships and capital structure.
· Proven success in acquisitions and partnerships.
· Solid accounting and reporting skills; candidates will have acquired a thorough understanding of GAAP accounting; will have demonstrated an ability to effectively allocate costs; will be capable of developing and delivering timely financial metrics for executive management to use in running and private equity investors to use in monitoring the business.
· Individuals who have assisted in scaling and subsequently selling a business will be advantaged; experience with acquisitions and the due diligence process would be a plus.
· Strong organizational/administrative skills; will be a hands-on manager with a roll-up-the-sleeves style, someone who is not afraid to get into the detail; a person who enjoys a small Company atmosphere; will have a spirit of pitching in to get the job done; and be comfortable in an environment with lean staffing; proven track record of excelling in an environment where decisions are made quickly and opportunities are seized.
· Leadership: a demonstrated ability to develop followership and gain the confidence and trust of the rest of executive management and the Company’s employees.
