Come join an award winning Corporate legal team! The Counsel, Corporate & Finance role will be an integral member of the Corporate legal team who will advise with respect to a variety of corporate and finance related matters. Key responsibilities will include advising on domestic and international credit market transactions and supporting PepsiCo’s derivatives activities. This role will report into the SVP Corporate Law & Deputy Corporate Secretary and will be based out of the PepsiCo Headquarters in Purchase, New York.
Responsibilities:
Assist with domestic and international credit market transactions, including revolving credit facilities, working capital lines, letters of credit and various banking arrangements for PepsiCo and all of its subsidiaries
Support PepsiCo’s foreign exchange and commodity derivatives activities from both a transactional and corporate governance perspective, including compliance with Dodd-Frank and international derivatives regulations
Support PepsiCo’s borrowing arrangements from both a transactional and corporate governance perspective
Assist with financing of mergers and acquisitions from both a transactional and corporate governance perspective
Advise on all other domestic and international financing and capital structure related activity, including share repurchase programs, guarantees, letters of credit and support agreements
Advise on insurance and risk management matters
GENERAL CORPORATE LAW
Draft and review commercial contracts and consulting agreements
Draft and review non-disclosure agreements
Draft and review engagement letters
CORPORATE GOVERNANCE
Perform legal and peer company research
Monitor and advise team members in a timely fashion regarding changes in legal and regulatory requirements
Qualifications:
Minimum Qualifications
JD from a leading university, with active admission to New York Bar
4+ years’ experience as a corporate attorney handling finance and other legal matters at a top law firm or public company (with prior in-house experience preferred)

Compensation and Benefits:
The expected compensation range for this position is between $113,300 – $226,600
Location, confirmed job-related skills and experience will be considered in setting actual starting salary
Bonus based on performance and eligibility; target payout is 25% of annual salary] paid out annually and an additional target payout of 10% of annual salary is paid out over 3 years following the end of the performance period.
Long term incentive equity may be awarded based on eligibility and performance.
