Responsibilities:

The Vice President – Corporate Finance role is a Senior Level position with responsibility to lead, manage and direct all aspects of the corporate finance functions for Morgan’s North American business. Areas of concentration include but are not limited to Finance, Treasury, Insurance, Tax, Retirement Plans and Compliance.

Essential Functions:

Financial and Risk Management for the North American Holding Company:

• Identify and monitor financial and business risks.
• Provide insight and engagement to strengthen the business financial control environment.
• Monitor business results and economic conditions to provide insight to business management.
• Participate in M&A activities – due diligence through to closure.

Treasury:

• Oversee the efficient use of Company cash resources.
• Ensure effective compliance practices in the operations of Treasury Management Systems.
• Interpret and apply corporate borrowing agreement provisions to maintain compliance.
• Develop and maintain strong relationships with lending banks and financial institutions.

Insurance:

• Develop and implement insurance programs to adequately safeguard business risks.
• Negotiate all insurance placements.
• Participate in business risk reviews.
• Actively engage in the management of claims to achieve satisfactory conclusion.

Retirement Plans:

• Serve as Chairperson to Committees that oversee Company Sponsored Retirement Plans.
• Serve as Investment and Administrative Fiduciary.
• Manage and monitor relationships with third party advisers and investment consultants.

Tax:

• Ensure the accuracy and timeliness of all Corporate Income Tax Filings.
• Engage with internal and external advisers in effective tax planning strategies.

Accounting and Financial Reporting:

• Directs the preparation of all related financial statements and required reporting in accordance with Company Policy for the Corporate Holding Company.
• Manage the Holding Company Accounting function and related staff.
• Provide oversight in planning and coordination of the external financial audit.

Internal and External Focus:

• Participate in Executive leadership initiatives
• Maintain strong relationships with external parties – banks, insurers, auditors, attorneys, advisers.
• Develop sustained relationships with internal stakeholders across all levels of the organization.

Qualifications:


Minimum Qualifications and Education Requirements:

• 10+ years related experience in a US based manufacturing business with non-US Controlling Interest.
• Master’s degree in Finance, Accounting or Business Administration.
• Certified Public Accountant designation preferred.
• Working knowledge of IFRS, US GAAP and SOX.
• Senior level understanding of U.S. law.
• This position requires access to technology, materials, software or hardware that is controlled by export laws of the United States. Hired employees are required to provide proof that they are a United States Person as defined by 22 CFR §120.15.

• Possess and demonstrate strong communication skills.
• Experience in managing financial operations in Mexico and Canada.
• Have proven experience in presenting information to the Board of Directors, Senior Management and to Public Officials.
• Served in a Director role and understanding of related responsibilities.
• Able to read, analyze, and interpret financial reports and complex legal documents.
• Act collaboratively with teams to collectively drive the business to achieve desired outcomes.
