KEY RESPONSIBILITIES
Reporting directly to the FAF Executive Director and supporting the FAF Board of Trustees, the Vice President, Board Operations & Governance is a key member of the FAF executive team. With an eye toward continuous process improvement, the position ensures effectiveness of both the Board of Trustees and Executive Director’s office. At the direction of the Board of Trustees and Executive Director, the Vice President, Board Operations & Governance leads strategic and research projects in support of FAF’s Board of Trustees priorities. In addition, s/he serves as staff to the FAF Board of Trustees Standard-Setting Process Oversight Committee.
The FAF Board of Trustees meets quarterly with numerous Committee meetings throughout the year. This position develops the Board and Committee annual work plans and all meeting agendas, in consultation with Trustees and staff, and serves as project manager to ensure accurate and timely preparation of all materials.
Key relationships include the Executive Director, the FAF’s Board of Trustee Chair, members of the Executive Office to include the Legal/Compliance Assistant and Executive Assistant to FAF’s Executive Director & FAF’s Chair, the FASB and GASB leaders, and the FAF’s Board of Trustees (executives and thought leaders from academe, Big 4 and regional professional services firms, investors, preparers, regulators, state, and local governments). Other direct reports to the Executive Director that this individual will work closely with include the FAF’s Executive team – the VP Public Affairs, VP Human Resources, Chief Operating Officer, and VP/General Counsel.
Major Responsibilities include:
FAF Board of Trustees:
* At the direction of the Board of Trustees and Executive Director, lead strategic and research projects in support of Board of Trustees priorities. Using proven research and project management techniques, the incumbent will analyze, design, develop, implement, and evaluate creative approaches and solutions and may employ data analysis, project team creation & engagement, resource development and public consultation. Projects may include studies of governance, outreach, and other board-level agenda items.
* Serve as primary staff support to Standard-Setting Process Oversight Committee including projects as assigned by Executive Director and Trustees. Monitor FASB and GASB Post-implementation Review (“PIR”) activities including review of materials, Board of Trustees memos, stakeholder surveys/reports, meeting with FASB and GASB PIR leads and observing PIR discussions at FASB and GASB Board meetings.
* Ensure all Board of Trustee (“BOT”) and Committee meetings are planned, scheduled, and executed to enable the FAF BOT and Committees to fulfill their charters. There are 5 Committees in total: Compensation, Appointments, Standard-Setting Process Oversight, Audit & Finance, and the Executive Committee. S/he will be responsible for creating agendas and annual work plans for each of these Committees. Additionally, serve as project manager to coordinate the completion of all quarterly and ad-hoc meeting materials, ensuring quality and timeliness. Draft meeting minutes.
FAF and Executive Director’s Office:
* Lead development of regularly refreshed strategic plan.
* Lead the development of annual FAF goals, ensure executive team remains on track, provide periodic updates to Executive Director; prepare Executive Director’s quarterly report to Trustees.
* Serve as trusted advisor to Executive Director to strategize and prioritize workload and ensure Executive Director is focused on top priorities. Offload assignments from Executive Director wherever possible. Help Executive Director complete priority items with high level of creative and strategic thinking, critical analysis, thoroughness, and accuracy.
* Prepare turn-key, executive-level materials for Executive Director, independently. Includes reports, speeches, remarks, etc.
* Serve as sounding board to FAF’s leadership team including review of Board and Committee materials, annual report, budget, etc.
* Lead special projects as assigned by Executive Director.
PROFESSIONAL EXPERIENCE/QUALIFICATIONS
The successful candidate will have a proven track record and experience from one or more of the following areas: Corporate(in-house), Big Four and/or other Professional Services, Professional / Industry Association and/or Non-Profit. In addition, s/he will have exceptional organizational and project management (large scale/full cycle) and process improvement skills with demonstrated experience as staff or line leader managing multiple projects concurrently. Experience as corporate secretary and / or support to corporate board of directors is a plus. Additional qualifications include:

* Ability to conduct original research, synthesize data, formulate alternatives, and implement practical solutions timely
* Solid organizational, project management and process improvement skills
* Exceptional communication (verbal and written) and influencing skills
* High intellect, able to absorb, distill and synthesize complex information rapidly
* Ability to make considered decisions and come to workable conclusions on own without direction
* Keen detail orientation and desire for accuracy
* Demonstrated collaborative skills and desire to work as a member of a team to achieve goals
* Familiarity with corporate governance principles and the role of the board of directors (trustees)
* Ability to exercise discretion, judgment, and tact in handling highly sensitive and confidential information
* Commands respect while providing servant leadership to the FAF and Board of Trustees
* Aware of current technology solutions to aid in executive decision making
* Knowledge of U.S. GAAP required; familiarization with the accounting standard-setting process a plus
* Bachelor’s degree required; major or concentration in accounting or finance preferred; Lean, Six Sigma or related business process improvement certifications preferred
