Financial Accounting Foundation Looking for Board Operations and Governance Manager at United States, Connecticut, Norwalk Full Time

The Board Operations and Governance Manager is responsible for project management and corporate governance matters in supporting the FAF Board of Trustees (the “Board”) and its Committees.

This role is headquartered in Norwalk, CT and reports to the Vice President, Board Operations and Governance.

ESSENTIAL FUNCTIONS

The responsibilities of this position include, but are not limited, to:

• At the direction of the Vice President of Board Operations and Governance, support the corporate governance functions associated with the FAF Board of Trustees and its Committees.
• Interact with the Trustees, the Executive Director and his management team, and others in prominent leadership positions.
• Serve as a sounding board and trusted advisor to the Vice President of Board Operations and Governance to strategize and prioritize the workload, and ensure the VP remains focused on top priorities, which may include offloading some assignments from the VP wherever sensible.
• Support key governance initiatives, including stakeholder outreach/input projects, at the direction of the Vice President of Board Operations & Governance and FAF Executive Director.
• Provide expert project management support with an analytical mindset and continually look for opportunities to streamline current operations.
• Facilitate the development of agendas, cover letters, talking points, meeting planners, memos, presentations, minutes, and any other documentation needed to ensure the smooth operations of the Board and its Committees, and participate in meetings as requested.
• Strategize, conduct research, and potentially even reach out to other, similar organizations, to identify what “best-in-class” governance at the FAF should look like.
• Prepare presentations, talking points, or any other content for the Vice President of Board Operations and Governance as requested, and present with or on the VP’s behalf when needed.
• Keep track of and communicate meeting deadlines, document templates, and other key information to internal stakeholders and answer questions, comments, or concerns in a timely manner.
• Work closely with the Vice President of the Board Operations and Governance on developing annual work plans, meeting schedules, committee assignments, FAF goals, and any other items as requested.
• Support the public transparency initiatives associated with the Standard-Setting Process Oversight Committee, including shared oversight of any due process complaints submitted to the organization.
• Engage in training and onboarding new Trustees, consider tailored educational opportunities on specific subjects, and consult with the Vice President of Board Operations and Governance on ways to enhance the program overall.
• Build and sustain strong working relationships with the Executive Administrative Assistants for the FAF, FASB, and GASB to facilitate the exchange of information related to the Board and its Committees.
• Work closely with the Executive Administrative Assistant to the Executive Director to coordinate all meeting logistics, social programs, outreach activities, or any other related matters for virtual and in-person events.
• With the Vice President of Board Operations and Governance and Executive Administrative Assistant to the Executive Director, manage the board portal and oversee user access to ensure the right people have access to the right documents.
• Facilitate the follow-up of action items from the Board and Committee meetings.
• Monitor necessary website updates related to the Board and its Committees.
• Maintain electronic records for the Board and its Committees.
• Other duties as assigned.

QUALIFICATIONS

• Bachelor’s Degree or an equivalent combination of education and experience.
• Related experience in a professional office environment, preferably one with regular C-suite and/or Board interaction a plus.
• Background in corporate governance or working with an appointments/nominating committee a plus.
• Ability to handle highly confidential matters and sensitive materials with discretion, demonstrate good business judgment and a high degree of professionalism.
• Flexibility in competently juggling competing priorities and changing expectations.
• Outstanding project and time management skills.
• Exceptional attention to detail.
• Comfortable researching and learning new technologies.
• Excellent communication skills and professionalism, especially superior writing capabilities, and a willingness to ask questions rather than just follow directions (critical thinking).
• Excellent interpersonal skills, with ability to work effectively in a team environment both within the department and elsewhere in the organization.
• Familiar with web-based tools, such as SharePoint.
• High degree of competency in all standard MS Office software, including: Word, PowerPoint, Excel, and Outlook.
• Fluency in English required.

TRAVEL REQUIREMENTS

• Some domestic travel (principally involving Norwalk, Connecticut, New York City and Washington, DC) may be required from time to time.
