The Corporate Counsel will be an integral member of the Corporate Transactions & Marketing practice group within the Delta Air Lines Law Department. The Law Department provides centralized legal services and support for Delta Air Lines and its affiliates and subsidiaries worldwide. This role will provide strategic advice and counsel in support of the companys Corporate Strategy, Alliances, Ventures, Sustainability, Marketing, Sales, Cargo and Digital & Distribution business units. In addition, this role will provide legal guidance and support for corporate strategic transactions including potential mergers, acquisitions, divestitures, joint ventures and minority investments. The successful candidate will be part of a team of legal professionals with a mission to deliver top-quality and cost-conscious legal solutions to business issues.
This position requires a strong background in negotiating and drafting strategic transactions agreements and other complex commercial contracts, deal management and closing experience. Familiarity with minority equity rights and international contracts is a plus. The successful candidate must have the ability to lead and collaborate with internal and external attorneys, internal stakeholders, and customers to develop and execute agreements.
This position is based in Atlanta and will report to the Associate General Counsel Corporate Transactions and Marketing.
Primary Responsibilities:
Support and manage time-sensitive negotiations regarding strategic transactions
Draft, negotiate and structure sales, marketing, sponsorship, and joint venture agreements
Ensure the successful management of closings
Provide business-oriented advice by balancing risks and business reward
Administration and resolution of legal issues and contract interpretation matters that arise in existing commercial relationships
Provide legal and strategic business advice to help develop a comprehensive, long-term approach to our relationships with business partners
Work with members of the Corporate Transactions and Marketing practice group to improve legal forms, processes and procedures
What you need to succeed (minimum qualifications)
Juris Doctorate and bar admission required
4-6 years of strategic transactions and commercial contracts experience
Demonstrated ability to provide the highest level of legal work-product
Possesses excellent and persuasive negotiation and drafting skills
Ability to communicate with senior management and manage expectations as related to contract status, negotiations, or other transaction matters
Ability to work quickly and competently to prioritize, manage, and multi-task in a fast pace working environment
Problem solving, solution minded approach to collaboration
Demonstrate Deltas core values of integrity, respect, perseverance
